Terms and Conditions

By accessing or using the BidVault platform (the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and all applicable laws and regulations of India. If you do not agree with any of these Terms, you are prohibited from using this Platform.

These Terms constitute a legally binding agreement between you ("User", "you") and BidVault Technologies Pvt. Ltd. ("Company", "we", "us", "our"), incorporated under the Companies Act, 2013.

We reserve the right to modify these Terms at any time. Continued use of the Platform after any changes constitutes acceptance of the new Terms.

BidVault is an information aggregation and discovery platform. We list auction notices published by banks, financial institutions, and government authorities under applicable Indian laws including the SARFAESI Act, 2002, the Recovery of Debts and Bankruptcy Act, 1993 (DRT), and related regulations.

• We are not an auctioneer. Actual auctions are conducted by banks or their designated e-auction service providers on their own portals.
• We do not facilitate bids, receive EMDs, or process payments for auctions.
• Listing of an auction on our Platform does not imply endorsement, verification, or guarantee of the asset by the Company.
• All auction-related decisions (EMD, bidding, title verification) are solely between the User and the concerned bank/institution.

To register and use BidVault, you must:

• Be at least 18 years of age
• Be a citizen or resident of India, or an entity registered under Indian law
• Possess a valid government-issued photo ID (Aadhaar, PAN, Passport)
• Provide accurate, current, and complete information during registration
• Not be barred from participating in e-auctions by any court, tribunal, or regulatory authority

Companies, partnership firms, HUFs, and trusts may register through an authorised representative who must provide a letter of authority or board resolution.

You are responsible for maintaining the confidentiality of your account credentials (mobile number, OTP, PIN). You agree to:

• Immediately notify us of any unauthorised use of your account
• Not share your credentials with any third party
• Not create multiple accounts for the same individual or entity
• Ensure that all information provided is accurate and up to date

We reserve the right to suspend or terminate accounts that violate these conditions or are found to be fraudulent.

BidVault offers tiered access to auction information through paid subscription plans:

• Free users may view basic listing details and a single thumbnail image. Full property details, images, contact information, and location are restricted.
• Subscribed users receive full access to all listing details during their active subscription period.
• Subscription fees are billed in advance (monthly or annually) and are non-refundable except as provided under our Refund Policy.
• All payments are processed through Razorpay, a PCI-DSS compliant payment gateway. We do not store card or bank account information.
• Prices are inclusive of applicable GST. We reserve the right to revise subscription pricing with 30 days' notice.

All auction listings on BidVault are sourced from public notices issued by banks and financial institutions. While we make reasonable efforts to ensure accuracy, we expressly disclaim liability for:

• Errors, omissions, or outdated information in any listing
• Postponement, cancellation, or modification of any auction by the bank
• Title defects, encumbrances, pending litigation, or third-party claims on any auctioned asset
• Condition of the property or vehicle at the time of auction or possession
• Discrepancies between our listing and the official auction notice issued by the bank

Users must independently verify all auction details directly with the concerned bank before participating. The official auction notice published by the bank supersedes any information on our Platform.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of Indian law
• Misrepresent your identity or provide false information during registration or subscription
• Scrape, crawl, or extract data from the Platform without written permission
• Attempt to gain unauthorised access to any part of the Platform or its servers
• Interfere with or disrupt the integrity or performance of the Platform
• Engage in bid rigging, collusion, or any anti-competitive conduct related to auctions listed on our Platform
• Post, share, or transmit any content that is defamatory, obscene, or violates any third-party rights
• Use the Platform to send unsolicited communications or spam

All content on the Platform — including design, text, graphics, logos, UI elements, and software — is the exclusive property of BidVault Technologies Pvt. Ltd. and is protected under the Copyright Act, 1957 and applicable Indian intellectual property laws.

• Auction listing text sourced from public bank notices is factual information and is not owned by us.
• You may not reproduce, modify, distribute, or create derivative works from our proprietary content without written consent.
• Any feedback or suggestions you provide to us may be used without obligation or compensation to you.

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, storage, and processing of your personal data as described therein.

We comply with the Information Technology Act, 2000, the IT (Amendment) Act, 2008, and applicable rules thereunder, including the IT (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.

We do not sell your personal data to third parties. User data may be shared with our payment processor (Razorpay) solely for the purpose of processing transactions.

To the maximum extent permitted by applicable law, BidVault Technologies Pvt. Ltd. shall not be liable for:

• Any direct, indirect, incidental, special, or consequential damages arising from your use of the Platform
• Any losses arising from participation in an auction listed on our Platform
• Any financial loss due to reliance on information published on the Platform
• Interruption, errors, or unavailability of the Platform
• Unauthorised access to or alteration of your data

Our aggregate liability in any event shall not exceed the subscription fees paid by you in the 3 months preceding the claim.

You agree to indemnify, defend, and hold harmless BidVault Technologies Pvt. Ltd., its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

We reserve the right to suspend or permanently terminate your access to the Platform, with or without notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or if required by applicable law or court order.

Upon termination, your right to use the Platform ceases immediately. Subscription fees already paid will not be refunded except as provided in our Refund Policy. Provisions of these Terms that by their nature should survive termination (including disclaimer of warranties, limitation of liability, and indemnification) shall continue to apply.

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

Before initiating legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of 30 days. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement, and proceedings conducted in English in Bengaluru.

Grievances will be acknowledged within 48 hours and resolved within 30 days of receipt, in compliance with the Information Technology Act, 2000.
